By accessing provenancecode.com or using Agent OS, you agree to these Terms of Service (“Terms”). If you are entering into these Terms on behalf of a company or organisation, you represent that you have authority to bind that entity.

1. The service

ProvenanceCode provides Agent OS, a runtime governance and audit layer for AI agents. Agent OS intercepts agent decisions, evaluates them against policy rules, generates signed provenance records, and routes high-risk actions to a designated human approver before execution. The service is available via AWS Marketplace and as a Docker-based deployment.

2. Early access and eligibility

Access to Agent OS is currently by invitation only. Submitting an early-access request does not guarantee access. We may decline requests at our discretion. Accepted customers will receive onboarding instructions and AWS Marketplace subscription details by email.

3. Permitted use

You may use Agent OS solely for your internal business operations. You must not:

  • Reverse-engineer, decompile, or disassemble any component of Agent OS beyond what is permitted by applicable law or the Apache 2.0 licence covering open-source components.
  • Use Agent OS to process data in a way that violates applicable law, including GDPR, the EU AI Act, or US export controls.
  • Resell, sublicense, or make Agent OS available as a service to third parties without written permission.
  • Use Agent OS to circumvent the governance controls it is designed to enforce.

4. Licensing

Core components of Agent OS are released under the Apache License 2.0. The ProvenanceCode policy engine, provenance record schema, and hosted API are proprietary. Your subscription grants a limited, non-exclusive, non-transferable licence to use Agent OS for the duration of your active subscription. No ownership or intellectual property rights are transferred.

5. Metering and payment

Agent OS is metered by action credits. Risk-weighted pricing applies: Low-risk actions = ×1 credit, Medium-risk = ×3 credits, High-risk = ×10 credits. Human approval requests consume one credit on submission. Billing is handled through AWS Marketplace. Your AWS subscription agreement governs payment terms, refunds, and invoicing.

6. Data and privacy

We process personal data as described in our Privacy Policy. For data processed within your Agent OS deployment (provenance records, agent decisions, approval logs), you are the data controller and we act as a data processor where applicable. A Data Processing Agreement (DPA) is available on request at hello@provenancecode.com.

7. Uptime and support

We aim for high availability but do not guarantee a specific uptime SLA during early access. Support is provided via email at hello@provenancecode.com. Response times are best-effort during the early-access period.

8. Disclaimers and liability

Agent OS is provided “as is” during early access. To the maximum extent permitted by law:

  • We disclaim all implied warranties, including merchantability and fitness for a particular purpose.
  • We are not liable for indirect, incidental, consequential, or punitive damages arising from your use of Agent OS.
  • Our total aggregate liability is limited to the amounts paid by you to us in the 3 months preceding the event giving rise to the claim, or £100, whichever is greater.

Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded by law.

9. EU AI Act alignment

Agent OS is designed to support compliance with the EU AI Act and ISO/IEC 42001. However, you remain responsible for determining whether your AI systems meet applicable regulatory requirements. ProvenanceCode documentation, provenance records, and policy audit trails are designed to assist your compliance effort — they do not constitute legal advice and do not guarantee regulatory compliance.

10. Termination

Either party may terminate the subscription at any time through the AWS Marketplace. We may suspend or terminate access immediately if you breach these Terms, violate applicable law, or engage in conduct that risks harm to our systems or other users. Upon termination, your right to use Agent OS ceases immediately.

11. Governing law

These Terms are governed by the laws of England and Wales. Disputes will be subject to the exclusive jurisdiction of the courts of England and Wales, except where mandatory local law requires otherwise.

12. Changes to these Terms

We may update these Terms. Material changes will be communicated by email (where we hold your contact details) and by updating the “last updated” date above. Continued use after the effective date constitutes acceptance of the revised Terms.
